Hyphen Property

All right, title, and interest in and to the Website, Content, and Services are and will remain the exclusive property of Hyphen and its licensors. The Website, Content, and Services are protected by copyright, trademark, and other laws of both the United States and foreign countries. Except as expressly permitted in these Terms of Use, you may not reproduce, modify or prepare derivative works based upon, distribute, sell, transfer, publicly display, publicly perform, transmit, or otherwise use the Website, Content, or Services. You may not copy or modify the HTML and other code used to generate web pages on the Website. Hyphen will have the right to investigate and prosecute violations of any of the above, including intellectual property rights infringement and Website security issues, to the fullest extent of the law. Hyphen may involve and cooperate with law enforcement authorities in prosecuting users who violate these Terms of Use. You acknowledge that Hyphen has no obligation to monitor your access to or use of the Website, Content, and Services, but has the right to do so for the purpose of operating the Website, to ensure your compliance with these Terms of Use, or to comply with applicable law or the order or requirement of a court, administrative agency or other governmental body.

Digital Millennium Copyright Act Compliance

Copyright Infringement. If you believe that your copyright-protected work has been copied and posted on the Site in a way that constitutes copyright infringement, please contact our DMCA Agent with the following information (please consult your attorney to better understand your rights and obligations under Section 512(c) of the Copyright Act and other laws):

Counter-Notification. If material that you have posted to the Site has been taken down, you may file a counter-notification that contains the following details:

  • Identification of the material that has been removed or to which access has been disabled and the location at which the material appeared before it was removed or disabled;
  • A statement, under penalty of perjury, that you have a good faith belief that the material was removed or disabled as a result of mistake or misidentification of the material in question;
  • Your name, address and telephone number;
  • A statement that you consent to the jurisdiction of the Federal District Court for judicial district in which your address is located or, if your address is outside of the USA, for any judicial district in which PlayFirst, Inc. may be found and that you will accept service of process from the person who submitted a notice in compliance with the section (c)(1)(C) of the DMCA, as generally described above;

Termination

Hyphen reserves the right to revoke your access to and use of the Website, Content, and Services at any time, with or without cause. Hyphen makes no representation that Content or Services available through the Website are appropriate or available for use outside the United States. You agree to access or use the Website, the Content or the Services only to the extent such access or use is permitted by the laws, rules and regulations in the jurisdiction where you are located. You may not use the Website or export the Content or Services in violation of any US law, rule or regulation (including but not limited to applicable export laws and regulations). If you access the Website from a location outside the United States, you are responsible for compliance with all applicable laws, rules or regulations.

Severability

Controlling Law and Jurisdiction

These Terms of Use and any action related thereto will be governed by the laws of the State of California without regard to its conflict of law provisions. The exclusive jurisdiction and venue of any action with respect to the subject matter of these Terms of Use will be the state and federal courts located in San Francisco County, California, and each of the parties hereto waives any objection to jurisdiction and venue in such courts.

Entire Agreement

These Terms of Use are the entire and exclusive agreement between Hyphen and you regarding the Website, Content, and Services, and these Terms of Use supersede and replace any prior agreements between Hyphen and you regarding the Website, Content, and Services.
